THQ To Acquire Rainbow Studios
CALABASAS HILLS, Calif. - November 7, 2001 - THQ Inc. (NASDAQ NMS: THQI) today announced that it has entered into a letter of intent to acquire Rainbow Studios, a leading creator of digital entertainment. The acquisition is subject to the satisfaction of certain conditions, including the execution of definitive documents.
The acquisition further strengthens THQ’s internal development capabilities, enhancing the company’s ability to create the highest-quality gaming content for the next-generation of console systems including PlayStation 2, GameCube and Xbox. Rainbow Studios’ fifteen-year videogame history includes the critically acclaimed Motocross Madness PC series, ATV Offroad Fury for PlayStation 2, Tiger Woods PGA Tour 2000 for PC, and several television and game animation projects. Projects currently under development at Rainbow Studios include Activision’s Matt Hoffman’s Pro BMX for PlayStation 2, Lucas Arts’ Star Wars® Racer™ II: Racer Revenge™ for PlayStation 2 and Infogrammes’ Splashdown for PlayStation 2.

Under the terms of the agreement, Rainbow Studios will become a wholly owned subsidiary of THQ. In connection with the acquisition, THQ will issue approximately 1,000,000 shares of common stock to Rainbow shareholders. The acquisition is expected to close as soon as all necessary approvals and consents are obtained.
